Par défaut Downgrade and then Upgrade?

I have been having a disagreement with some admins who say that they
were told by a consultant that if they buy a Windows Server 2008 license
(you can't get 2003 licenses anymore), that they can downgrade it to
install Windows Server 2003. This I buy. However, the consultant has
said that they can later "upgrade" to Server 2008 with the same license.

I have said that I can't see MS Letting me,in effect, buy two licenses
for the price of one. I say that, while it is possible to do it with
Open Licenses, it can't possibly be what MS intends and violates the
license agreement.

Anyone know what the facts are? Any links to "official" MS documents?
